This license governs use of the accompanying software, including its
source code, object code, documentation, configuration, and assets (the
"Software"). By installing, copying, or otherwise using the Software,
You accept this license. If You do not accept it, do not use the
Software.

0. DEFINITIONS

  "You" (or "Your") means the individual or single legal entity
  exercising rights under this license. For an entity, "You" includes
  any affiliate controlling, controlled by, or under common control
  with that entity, provided such affiliate is bound by this license.

  "Organization" means the single legal entity in which You operate,
  together with its employees, contractors, and agents acting within
  the scope of their engagement with that entity.

  "Local Use" means installing and executing the Software on hardware
  owned or controlled by You or Your Organization, where the Software
  is operated interactively or programmatically by a natural person
  who is part of Your Organization. Local Use does not include making
  the Software available to anyone outside Your Organization, whether
  over a network, as a service, or by providing a copy.

  "Upstream Project" means Claude Code, originally published by
  Anthropic, PBC, from which portions of the Software are derived.

1. GRANT OF RIGHTS

Subject to Your continued compliance with the terms of this license,
the Licensor grants You a worldwide, non-exclusive, non-transferable,
royalty-free, irrevocable (subject to Section 7) license to:

  (a) install, run, and execute the Software for Local Use;

  (b) modify the Software, and create works based on it, solely for
      Local Use, provided that any such modifications and derived
      works remain internal to You or Your Organization and are not
      distributed, published, or otherwise made available outside it;

  (c) make the copies necessary to exercise the rights in (a) and (b),
      including backups and copies on developer workstations belonging
      to Your Organization;

  (d) for clarity: use the Software during the course of providing
      professional services (such as consulting, contracting, or
      agency work) to a client, provided that the Software itself
      (whether in source, binary, or modified form) is operated only
      on hardware controlled by You and is not delivered, deployed,
      hosted, sublicensed, or otherwise made available to the client
      or to any other third party. Code, files, or other output
      produced by Your use of the Software are not themselves subject
      to this license and may be delivered to the client.

2. PATENT GRANT

Subject to the terms of this license, the Licensor grants You a
worldwide, non-exclusive, royalty-free, irrevocable (subject to
Section 7 and the following sentence) patent license under the
Licensor's essential patent claims to make, have made, use, and run
the Software for Local Use. If You initiate or participate in patent
litigation (including a cross-claim or counterclaim) alleging that the
Software, or a contribution incorporated within it, directly or
indirectly infringes any patent, then any patent licenses granted to
You under this license terminate as of the date such litigation is
filed.

3. RESTRICTIONS

You may not:

  (a) distribute, publish, sublicense, sell, rent, lease, loan,
      transmit, mirror, or otherwise make available the Software, or
      any work derived from it, to any third party, in source or
      binary form, in whole or in part;

  (b) provide the Software, or any work derived from it, to third
      parties as a hosted, managed, multi-tenant, time-shared, or
      "as-a-service" offering (including SaaS, PaaS, IaaS, API
      gateway, or equivalent arrangements), or otherwise expose its
      functionality over a network to anyone outside Your
      Organization;

  (c) remove, alter, or obscure any copyright, trademark, attribution,
      or other proprietary notices contained in the Software, the
      Upstream Project notices, or this license file;

  (d) use the names, trademarks, service marks, or logos of the
      Licensor (including "Claudin" and "Claudinlabs") or of the
      Upstream Project (including "Claude Code" and "Anthropic") in
      a manner that
      suggests endorsement, sponsorship, or affiliation, except as
      strictly required to identify the origin of the Software;

  (e) use the Software in violation of applicable law, export
      controls, sanctions regimes, or the rights of any third party;

  (f) attempt to circumvent any technical limitation, license check,
      telemetry-removal stub, or privacy-enforcement mechanism present
      in the Software.

4. UPSTREAM AND THIRD-PARTY MATERIALS

The Software is a modified fork that incorporates substantial portions
of the Upstream Project, together with components authored by other
third parties (including open-source dependencies and model-provider
SDKs). All such materials remain the property of their respective
owners and are subject to their own terms, including but not limited
to the Anthropic Commercial Terms of Service and the licenses of each
third-party dependency. Nothing in this license overrides, replaces,
or expands the rights granted by those third parties. You are solely
responsible for determining and complying with any obligations arising
from Your use of such materials. The Licensor makes no representation
or warranty regarding the rights granted, or not granted, by any
third party, and disclaims any obligation to defend, indemnify, or
hold You harmless against third-party claims.

The Software is not affiliated with, endorsed by, or sponsored by
Anthropic, PBC.

5. CONTRIBUTIONS (INLINE CONTRIBUTOR AGREEMENT)

If You intentionally submit any contribution (including code,
documentation, configuration, or other materials) for inclusion in the
Software, by submitting that contribution You agree that:

  (a) You grant the Licensor a perpetual, worldwide, non-exclusive,
      royalty-free, irrevocable license to use, reproduce, modify,
      prepare derivative works of, publicly display, publicly perform,
      sublicense, and distribute Your contribution and such derivative
      works, under this license and under any other license the
      Licensor may choose for the Software in the future;

  (b) You grant the Licensor and every recipient of the Software a
      perpetual, worldwide, non-exclusive, royalty-free, irrevocable
      patent license under Your essential patent claims to make, have
      made, use, run, and otherwise exploit Your contribution and the
      Software incorporating it;

  (c) the contribution is Your original work, or You have sufficient
      rights to submit it under this Section 5, and the contribution
      does not knowingly infringe any third-party rights or include
      third-party material that conflicts with this license;

  (d) the contribution is submitted without any expectation of payment
      and without any additional terms or conditions; the Licensor is
      under no obligation to accept, retain, or attribute it.

If You contribute on behalf of an Organization, You represent that You
are authorized to bind that Organization to this Section 5.

6. DISCLAIMER OF WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY
OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT
LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. YOU ASSUME
ALL RISK ASSOCIATED WITH USE OF THE SOFTWARE, INCLUDING ANY RISK
ARISING FROM ITS INTERACTION WITH THIRD-PARTY MODEL PROVIDERS,
NETWORK SERVICES, OR LOCAL TOOLING.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL
THE LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS,
LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO
THIS LICENSE OR THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR ANY OTHER
LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. TERMINATION

This license terminates automatically and without notice if You
materially breach any of its terms and fail to cure the breach within
thirty (30) days after the Licensor provides written notice (which may
be delivered electronically). For breaches of Section 3(a), 3(b), or
the patent-litigation clause in Section 2, termination is immediate
and no cure period applies. Upon termination, You must immediately
cease all use of the Software and destroy all copies in Your
possession or control. Sections 4, 5, 6, 7, 8, 9, and 10 survive
termination.

9. RESERVED RIGHTS

All rights not expressly granted to You under this license are
reserved by the Licensor. No rights are granted by implication,
estoppel, or otherwise. "Claudin" and any associated logos are
trademarks of the Licensor; no trademark license is granted by this
license except the limited attribution use permitted in Section 3(d).

10. SEVERABILITY AND ENTIRE AGREEMENT

If any provision of this license is held to be unenforceable, the
remaining provisions shall continue in full force and effect, and the
unenforceable provision shall be modified to the minimum extent
necessary to make it enforceable while preserving its intent. This
license constitutes the entire agreement between You and the Licensor
regarding the Software and supersedes any prior or contemporaneous
understanding regarding its subject matter, except for separate
written agreements expressly signed by the Licensor.
