CueScope Source-Available License v1.0

Copyright (c) 2026 Greenhouse Ventures LLC. All rights reserved.

This license governs CueScope and any source code, compiled code,
documentation, knowledge files, examples, skills, prompts, and related materials
distributed by Greenhouse Ventures LLC (the "Software").

This is a source-available license. The Software is not open source.

CueScope is published by Greenhouse Ventures LLC under the Greenhouse Labs
brand.

1. Definitions

"Greenhouse" means Greenhouse Ventures LLC.

"Official Release" means a release of the Software made available by
Greenhouse through an official Greenhouse-controlled channel, including the
@greenhouselabs npm scope, greenhouselabs.io, or the Greenhouse-controlled
GitHub repository for CueScope.

"Internal Use" means use by you, your employees, contractors, agents, and
affiliates for your own operations or for live-production, broadcast,
streaming, consulting, or event services you provide to your own clients,
provided that you do not provide the Software itself as a product, hosted
service, managed service, package, platform feature, or white-label offering
for third parties.

"Competing Offering" means any product, service, hosted service, managed
service, package, MCP server, agent integration, vMix automation tool, vMix
advisory tool, or substantially similar offering that is marketed or made
available as a practical substitute for the Software.

2. Permitted Use

Subject to this license, Greenhouse grants you a limited, non-exclusive,
non-transferable, non-sublicensable license to:

a. download, install, and run Official Releases;
b. use Official Releases with vMix and MCP-compatible clients for personal,
   internal, educational, nonprofit, broadcast, streaming, event, consulting,
   or other commercial live-production workflows;
c. inspect source code that Greenhouse makes available for security review,
   verification, learning, debugging, and evaluation;
d. make private local modifications solely for your own Internal Use; and
e. make copies reasonably necessary for installation, package-manager caching,
   backup, archival, internal deployment, and ordinary use of Official
   Releases.

This license is not revocable except as described in Section 8.

3. Restrictions

You may not, without prior written permission from Greenhouse:

a. redistribute, publish, sell, rent, sublicense, or provide copies of the
   Software, modified or unmodified, except as necessary for Internal Use;
b. publish or distribute modified versions, forks, derivative packages,
   competing builds, or substantial portions of the Software;
c. use the Software's source code, compiled code, documentation, knowledge
   files, skills, prompts, examples, or other protected expression, or any
   substantial portion of them, to create, support, market, or operate a
   Competing Offering;
d. offer the Software or a substantial equivalent as a hosted, managed, SaaS,
   reseller, white-label, embedded, or platform service for third parties;
e. use the Software, documentation, knowledge files, skills, prompts, examples,
   or repository contents as training data to train, fine-tune, distill, or
   improve any machine-learning or artificial-intelligence model, dataset, or
   retrieval corpus, except for private local indexing used solely with your
   licensed use of an Official Release;
f. remove, obscure, or alter copyright, license, attribution, safety, security,
   or provenance notices;
g. use "CueScope", "Greenhouse Labs", "Greenhouse Ventures",
   related logos, marks, package names, domains, or confusingly similar marks
   except to accurately identify the Software;
h. bypass, disable, remove, or misrepresent license, safety, mode-gating,
   security, or provenance mechanisms; or
i. use the Software to violate law, gain unauthorized access to systems, or
   expose vMix Web Controller, vMix Call links, passwords, stream keys,
   credentials, private network details, or production secrets without
   authorization.

Nothing in this license prohibits independently developed software that does
not copy or use the Software or any substantial protected expression from it.

4. Source Availability

Greenhouse may make source code available for review through an official
Greenhouse-controlled repository or source package. Source availability does
not grant open-source rights and does not permit redistribution, public forks,
Competing Offerings, or other uses not expressly allowed by this license.

5. Contributions and Feedback

Greenhouse is not obligated to accept contributions. If you submit code,
documentation, issues, suggestions, patches, examples, feedback, or other
materials to Greenhouse, you grant Greenhouse a perpetual, worldwide,
irrevocable, royalty-free license to use, modify, reproduce, distribute,
sublicense, and commercialize those submissions without obligation to you.

6. Ownership and Trademarks

Greenhouse retains all right, title, and interest in the Software, including
copyrights, trade secrets, trademarks, branding, documentation, knowledge
files, architecture, and related intellectual property. No rights are granted
except those expressly stated in this license.

"CueScope" and "Greenhouse Labs" are trademarks or service
marks of Greenhouse. This license does not grant trademark rights.

7. Third-Party Software and Materials

Third-party dependencies, data, examples, references, trademarks, and materials
remain subject to their own licenses and terms. This license does not change
your rights or obligations under third-party licenses. See NOTICE.md for
additional attribution and third-party notices.

8. Termination and Cure

Your rights under this license terminate automatically if you violate its
terms. For a first-time, non-willful violation, Greenhouse may reinstate your
rights if you fully cure the violation within 30 days after written notice.
Repeated, willful, competitive, or harmful violations may be terminated without
reinstatement.

Upon termination, you must stop using the Software and delete all copies under
your control, except where retention is required by law or ordinary archival
backup policies.

9. Commercial Licensing

Uses outside this license require prior written permission from Greenhouse.
Commercial, reseller, embedded, hosted, white-label, integration, partnership,
or broader redistribution licenses may be available separately.

10. Governing Law and Venue

This license is governed by the laws of the U.S. state in which Greenhouse
Ventures LLC is organized and applicable U.S. federal law, excluding
conflict-of-law rules. The state and federal courts located in that state have
exclusive jurisdiction and venue for disputes arising from this license, except
that Greenhouse may seek injunctive or equitable relief in any court with
jurisdiction.

11. Severability

If any part of this license is held unenforceable, the remaining parts remain
in effect. The unenforceable part will be interpreted or limited to the minimum
extent necessary to make it enforceable while preserving the original intent as
closely as possible.

12. No Warranty

The Software is provided "as is" and "as available", without warranties or
conditions of any kind, express or implied, including warranties of
merchantability, fitness for a particular purpose, non-infringement, accuracy,
availability, security, or suitability for live production.

You are responsible for testing the Software before using it in any production,
broadcast, streaming, recording, or live event environment.

13. Limitation of Liability

To the maximum extent permitted by law, Greenhouse will not be liable for any
indirect, incidental, special, consequential, exemplary, punitive, or business
losses, including lost profits, lost revenue, lost data, production failure,
broadcast interruption, stream interruption, equipment misconfiguration, or
damage arising from use of or inability to use the Software.

14. Reservation of Rights

All rights not expressly granted are reserved by Greenhouse.
